- "Service" refers to the legal services we provide, including arbitration representation, e-commerce regulatory advisory, and document witnessing.

- "Engagement" refers to a formal instruction by a client to provide legal services, confirmed by a written scope and fee agreement.

2. Acceptance of Terms
By accessing our website or submitting an enquiry, you confirm that:
- You are at least 18 years of age and have the legal capacity to enter into a binding agreement
- You have read and understood these Terms and agree to be bound by them
- Where you are acting on behalf of an organisation, you have authority to bind that organisation
3. Description of Services
Orquine provides the following legal services to clients in Singapore and internationally:
- Arbitration & International Dispute Resolution: Representation in commercial arbitrations at SIAC, ICC, and other institutions, covering claim preparation, advocacy, and enforcement.
- E-Commerce Regulatory Advisory: Compliance guidance for online businesses operating in Singapore, covering consumer protection, data protection, and electronic transactions law.
- Witnessing of Documents: Professional witnessing and attestation of legal documents by a Singapore-admitted legal practitioner.
Our website provides general information only and does not constitute legal advice. A formal engagement, confirmed in writing, is required before any practitioner-client relationship is established.
4. Client Engagements
4.1 Engagement Process
All engagements commence with a written scope of work and fee agreement. No work will begin until you have confirmed your instructions and accepted the terms of the engagement in writing.
4.2 Your Responsibilities
As a client, you agree to:
- Provide accurate and complete information relevant to your matter
- Respond promptly to requests for information or instructions
- Inform us of any change in circumstances that may affect your matter
- Pay invoices in accordance with the agreed fee arrangement
4.3 Payment
Fees are quoted in Singapore Dollars (SGD) unless otherwise agreed. Invoices are payable within 14 days of issue unless alternative terms are set out in the engagement agreement. We reserve the right to suspend work on a matter if invoices remain unpaid beyond this period.
5. Website Use
You may use our website for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- Use the website in a way that could damage, disable, or impair its operation
- Attempt to gain unauthorised access to any part of the website or its underlying systems
- Submit false or misleading information through our contact form
- Use the website to distribute unsolicited commercial communications
6. Intellectual Property

Deliverables produced as part of a client engagement (such as written submissions or advisory memoranda) are provided for the client's use in connection with the matter for which they were prepared. Broader reproduction or distribution requires our prior agreement.

8. Disclaimers
Our website is provided for general information only. Content on the website does not constitute legal advice and should not be relied upon as such. Legal situations vary significantly; you should obtain specific advice relevant to your circumstances.

9. Limitation of Liability
To the fullest extent permitted by Singapore law, Orquine's liability in connection with website use or any service engagement is limited to the fees paid by you for the relevant engagement. We exclude liability for indirect, consequential, or economic loss arising from website use or from matters outside the agreed scope of an engagement.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud.
10. Termination
Either party may terminate an engagement by giving reasonable written notice. If you terminate an engagement, you remain liable for fees properly incurred up to the termination date. We reserve the right to cease acting in circumstances permitted under our professional conduct obligations, including non-payment of fees or a fundamental breakdown in the working relationship.
11. Dispute Resolution
If you have a concern about our services, please contact us at legal@orquinaeae in the first instance. We will endeavour to resolve disputes informally within 30 days.
These Terms are governed by the laws of Singapore. Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the Singapore courts, unless the parties agree in writing to an alternative form of resolution.
12. General
- Entire Agreement: These Terms, together with any written engagement agreement, constitute the full agreement between the parties on the relevant subject matter.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: A failure to enforce any right under these Terms does not constitute a waiver of that right.
- Assignment: You may not assign any rights or obligations under these Terms without our prior written consent.
13. Changes to These Terms
We may revise these Terms from time to time. Revised terms will be posted on this page with an updated effective date. Continued use of our website after any revision constitutes acceptance of the updated Terms.
